I love their whole display. It's clean, crisp, shows off the (sexy) product really well. Its safe from thanks to some anti theft leashes, nice. Then all of a sudden they get to the day before the press gets let in and they suddenly realise "Shit we've got nothing to clamp the forks to the display!".

Having a quick whip round between them, they hand $18.65 in change to the tea boy and dispatch him off to the nearest hardware store hopeful he can save the day/week. They haven't bought the company. Only specific assets.

Did Marzocchi have any designs or ip that fox would want?

Motorbike suspension perhaps? It's one niche fox don't cover.

But the article also says:
The Marzocchi business designs and manufactures motor bike and mountain bike suspension products.


Given they effectively closed the moto business some time ago, the assets are probably all listed under the MTB business they are/were trying to sell.

Fox Factory Holding Corp. (NASDAQ: FOXF) (“FOX”). today announced, that through certain of its subsidiaries, it has entered into a definitive agreement to acquire certain specified assets of Marzocchi's mountain bike product lines. The Marzocchi business designs and manufactures motor bike and mountain bike suspension products. FOX expects the transaction to close in Q4 2015 and it is subject to customary closing conditions and is not expected to have a material impact on its anticipated financial results in either fiscal 2015 or 2016.


I dont see how you can possibly interpret that as anything other than they purchased specific mountain bike parts

especially when its followed by

"We are excited to announce the agreement to acquire certain assets of the Marzocchi mountain bike product lines, which we believe is a significant opportunity for FOX to further expand the penetration of our bike suspension products across more price points," stated Larry L. Enterline, FOX's Chief Executive Officer. "The Marzocchi team has a long history of performance suspension experience and we believe that this highly complementary transaction will allow for the increased growth of the Marzocchi brand worldwide.
